Universal Limitless LLC
Terms of Service
Effective September 6, 2026
1. Services and project scope
We provide video production, editing, photography, motion graphics, visual effects, content creation, and related creative services. Website descriptions and starting prices are general. The selected package, accepted quote, statement of work, invoice, or other written agreement defines the final scope, deliverables, schedule, usage, and fees. If those documents conflict with these Terms, the more specific signed or accepted project document controls for that project.
2. Pricing and payment
Unless stated otherwise, prices are in U.S. dollars. Starting prices may change based on production length, locations, travel, crew, talent, licensing, usage, revisions, turnaround, and other project requirements. You authorize us and Stripe to process the disclosed charges. Taxes may be added where required. We may pause or decline work when payment is overdue, reversed, disputed, or suspected to be fraudulent.
3. Client responsibilities
You must provide accurate information, timely feedback, required materials, access, approvals, and a lawful production environment. You represent that you own or have all permissions, licenses, releases, permits, and rights necessary for materials and instructions you provide. We may refuse material or instructions reasonably believed to be unlawful, infringing, defamatory, unsafe, misleading, or inappropriate.
4. Schedule, delivery, and revisions
Delivery estimates begin after required payment and materials are received. Client delays, missing materials, approval delays, scope changes, third-party delays, or circumstances beyond our reasonable control may extend delivery. A deadline is guaranteed only when confirmed in writing. Each package includes only the revisions stated in its description or written agreement. Additional revisions, re-edits, or scope changes may require additional payment.
5. Cancellations, subscriptions, and refunds
Our Refund & Cancellation Policy is incorporated into these Terms. Recurring services continue for the disclosed billing interval until canceled. Unless a written agreement states otherwise, cancellation stops future renewal and does not refund a billing period in which work has begun, except where required by law.
6. Ownership and licenses
After full payment, the client receives rights to the final approved deliverables, subject to any limitations in the project agreement and any third-party licenses. Universal Limitless LLC retains ownership of drafts, raw footage, source and project files, unused concepts, templates, workflows, tools, techniques, and working materials unless a separate written agreement expressly includes them. No rights transfer until all amounts owed are paid.
Third-party music, fonts, stock media, plugins, and similar materials remain governed by their original licenses. We may reuse general knowledge, methods, templates, and non-client-specific elements. Unless prohibited by a signed confidentiality agreement, we may display completed work and identify the client in portfolios, social media, advertising, award submissions, and business promotion.
7. Client-provided materials and claims
You are responsible for materials and instructions you provide and for claims, losses, or costs resulting from their unauthorized or unlawful use, to the extent permitted by law. We are not responsible for platform removals, copyright claims, licensing restrictions, or other consequences caused by client-provided materials or instructions.
8. No performance guarantee
Creative and marketing results vary. We do not guarantee views, engagement, sales, conversions, rankings, platform approval, awards, publicity, or other commercial outcomes.
9. Disclaimers and limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. To the fullest extent permitted by law, our total liability arising from a specific service is limited to the amount paid for that service. These limits do not exclude liability that cannot legally be limited.
10. Force majeure
We are not responsible for delay or failure caused by events beyond reasonable control, including severe weather, illness, casualty, equipment or utility failure, internet or platform outages, labor disruptions, government action, or third-party failure. We will use reasonable efforts to communicate and resume performance.
11. Governing law and disputes
These Terms are governed by New York law, without regard to conflict-of-law rules. Before filing a claim, the parties will attempt in good faith to resolve it through written notice. Unresolved disputes must be brought in state or federal courts serving Albany County, New York, unless applicable consumer law requires otherwise. We may seek immediate relief for intellectual-property misuse, confidentiality breaches, or unauthorized use.
12. General terms and contact
If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer your agreement without our written consent. We may update these website Terms prospectively; the version accepted for a transaction continues to govern that transaction unless the parties agree otherwise.
